Welcome to Primo PCB Technology Co., Ltd. ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website primopcb.com (the "Site") and our PCB manufacturing and assembly services (collectively, the "Services"). Please read these Terms carefully before using our Site or Services.
1. Acceptance of Terms
By accessing or using our Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Site or Services.
2. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Site or Services after such changes constitutes acceptance of the new Terms.
3. Services
3.1 PCB Manufacturing and Assembly
We provide custom PCB manufacturing and assembly services based on customer specifications. Our services include but are not limited to:
- PCB fabrication (rigid, flexible, rigid-flex)
- PCB assembly (SMT, THT, mixed technology)
- Component sourcing and procurement
- Testing and quality assurance
- Design for Manufacturability (DFM) review
3.2 Service Availability
We strive to maintain continuous availability of our Site and Services. However, we do not guarantee uninterrupted access and may temporarily suspend services for maintenance, updates, or technical issues.
4. Orders and Pricing
4.1 Quotations
We reserve the right to modify prices due to changes in material costs, exchange rates, or other factors beyond our control.
4.2 Order Confirmation
Orders are confirmed upon receipt of payment and approval of design files. We will notify you of any issues that may affect production or delivery timelines.
4.3 Payment Terms
Unless otherwise agreed in writing:
- New customers: 100% payment in advance
- Established customers: 30% deposit, 70% before shipment
- Payment methods: Wire transfer, credit card, PayPal (additional fees may apply)
4.4 Pricing
All prices are quoted in US dollars (USD) unless otherwise specified. Prices exclude applicable taxes, customs duties, and shipping costs, which will be calculated separately.
5. Customer Responsibilities
5.1 Design Files
You are responsible for providing accurate and complete design files (Gerber, BOM, assembly drawings, etc.). We are not liable for errors resulting from incorrect or incomplete files provided by you.
5.2 Design for Manufacturability (DFM)
While we offer DFM review services, the ultimate responsibility for design functionality and compliance with specifications remains with you.
5.3 Intellectual Property
You represent and warrant that you have the right to use and provide all design files and specifications, and that they do not infringe upon any third-party intellectual property rights.
6. Quality and Warranty
6.1 Quality Standards
We manufacture PCBs in accordance with IPC-A-610 Class 2 standards unless otherwise specified. Higher classes (Class 3) are available upon request at additional cost.
6.2 Warranty Period
We warrant that our products will be free from defects in materials and workmanship for a period of 12 months from the date of shipment, provided they are used under normal conditions.
6.3 Warranty Claims
To make a warranty claim, you must:
- Notify us in writing within 30 days of discovering the defect
- Provide evidence of the defect (photos, test reports, etc.)
- Return defective products to us for inspection (at your expense unless the defect is confirmed)
6.4 Remedies
For valid warranty claims, we will, at our discretion:
- Repair or replace defective products at no charge
- Issue a credit or refund for the defective products
6.5 Exclusions
This warranty does not cover:
- Damage caused by improper handling, storage, or installation
- Products modified or repaired by unauthorized parties
- Normal wear and tear
- Design defects (as opposed to manufacturing defects)
7. Limitation of Liability
7.1 Liability Cap
Our total liability for any claim arising from our Services shall not exceed the amount paid by you for the specific products or services giving rise to the claim.
7.2 Exclusion of Consequential Damages
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
7.3 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, strikes, supply chain disruptions, or government actions.
8. Intellectual Property
All content on our Site (text, images, logos, designs, etc.) is owned by or licensed to us and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
9. Confidentiality
We treat all customer design files, specifications, and business information as confidential. We will not disclose such information to third parties without your consent, except as required by law or as necessary to provide our Services.
10. Indemnification
You agree to indemnify, defend, and hold harmless Primo PCB and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of our Site or Services
- Your violation of these Terms
- Your infringement of any third-party rights
- Any products or designs you provide that infringe third-party intellectual property
11. Termination
We reserve the right to terminate or suspend your access to our Site and Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.
12.2 Dispute Resolution
Any dispute arising from or relating to these Terms or our Services shall be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to the Dongguan Court of International Arbitration (DCIA) for arbitration in accordance with its rules. The arbitration shall take place in Dongguan, China, and the language of arbitration shall be English.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any order confirmations, constitute the entire agreement between you and us regarding the subject matter herein.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
