These Terms of Service ("Terms") govern your access to and use of our website primopcb.com (the "Site") and our PCB manufacturing and assembly services (collectively, the "Services"). All prices are quoted in US dollars (USD) unless otherwise specified. Prices exclude applicable taxes, customs duties, and shipping costs, which will be calculated separately.

5. Customer Responsibilities

5.1 Design Files

You are responsible for providing accurate and complete design files (Gerber, BOM, assembly drawings, etc.). We are not liable for errors resulting from incorrect or incomplete files provided by you.

5.2 Design for Manufacturability (DFM)

While we offer DFM review services, the ultimate responsibility for design functionality and compliance with specifications remains with you.

5.3 Intellectual Property

You represent and warrant that you have the right to use and provide all design files and specifications, and that they do not infringe upon any third-party intellectual property rights.

6. Quality and Warranty

6.1 Quality Standards

We manufacture PCBs in accordance with IPC-A-610 Class 2 standards unless otherwise specified. Higher classes (Class 3) are available upon request at additional cost.

6.2 Warranty Period

We warrant that our products will be free from defects in materials and workmanship for a period of 12 months from the date of shipment, provided they are used under normal conditions.

7.1 Liability Cap

Our total liability for any claim arising from our Services shall not exceed the amount paid by you for the specific products or services giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, strikes, supply chain disruptions, or government actions.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any dispute arising from or relating to these Terms or our Services shall be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to the Dongguan Court of International Arbitration (DCIA) for arbitration in accordance with its rules. The arbitration shall take place in Dongguan, China, and the language of arbitration shall be English.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any order confirmations, constitute the entire agreement between you and us regarding the subject matter herein.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
